Terms of Service

1. Acceptance of Terms

By accessing or using the Naaabaaly mobile application ("App") or website ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

Naaabaaly is operated by Independence Collective, LLC ("Company," "we," "us," or "our"), a Florida limited liability company.

2. Eligibility

To use Naaabaaly, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain the security of your account credentials

Naaabaaly does not knowingly collect personal information from anyone under 18. If we learn that a user is under 18, we will terminate the account and delete associated data.

3. Platform Description

Naaabaaly is a hyperlocal peer-to-peer marketplace that connects tool owners ("Lenders") with people who need to borrow tools ("Borrowers") within a limited geographic radius (typically 1-5 miles).

Important: Naaabaaly is a platform facilitator only. We do not own, rent, or sell tools. All transactions are between individual users. We are not a party to any rental agreement between users, and we do not process payments between users.

4. User Accounts

Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized account access

Account Termination by Us

We reserve the right to suspend or terminate accounts that:

• Violate these Terms of Service
• Engage in fraudulent or illegal activity
• Receive multiple negative reviews or complaints
• Misuse the platform or abuse other users
• Post content that violates our content standards (see Section 7)

Account Deletion by You

You may request deletion of your account at any time through the App (Profile → Delete Account) or by visiting naaabaaly.com/delete-account. When you request deletion:

• Your account is scheduled for deletion immediately
• You have a 30-day recovery window during which you may restore your account by contacting support@naaabaaly.com
• After 30 days, your personal information is permanently removed
• Your login credentials are permanently disabled
• Transaction records (completed rentals, sales, and reviews) are retained anonymously for tax, legal, and dispute resolution purposes for up to 7 years, as required by law

5. Payments and Fees

Off-Platform Payments

All payments between Lenders and Borrowers occur directly between users through third-party payment services, including PayPal, Venmo, and Zelle. Naaabaaly does not process, hold, or handle any user-to-user payments. We are not a payment processor, money transmitter, or party to any financial transaction between users.

Lenders and Borrowers are solely responsible for:

• Coordinating payment method and amount
• Payment processing fees charged by third-party payment services
• Tax reporting obligations arising from marketplace transactions
• Refund resolution in the event of a dispute

Security Deposits

Lenders may require a refundable security deposit for tool rentals. Deposits are transferred directly from Borrower to Lender through their chosen payment method. Refunds of deposits are the responsibility of the Lender based on tool condition upon return.

In-App Purchases

Naaabaaly may offer optional in-app purchases (such as additional tool listing slots for Lenders) through the Apple App Store or Google Play Store. These purchases are processed by Apple or Google under their respective terms and are non-refundable except as required by law or those platform policies. Naaabaaly does not offer refunds for in-app purchases directly.

No Platform Service Fee

Naaabaaly does not currently charge a service fee on rental transactions. This may change in the future with notice.

Minimum Rental Rate

The minimum daily rental rate is $5.00 USD.

6. User Conduct

You agree NOT to:

• Use the platform for any illegal purpose
• List prohibited items (weapons, hazardous materials, stolen property, illegal goods)
• Misrepresent the condition, ownership, or capabilities of tools
• Harass, threaten, discriminate against, or abuse other users
• Create multiple accounts or use false information
• Interfere with platform operations or security
• Scrape, copy, or redistribute platform content without permission
• Post objectionable content (see Section 7)
• Attempt to identify or contact other users outside of platform-provided channels prior to a confirmed booking

7. Objectionable Content and Content Moderation

Naaabaaly has zero tolerance for objectionable content and abusive user behavior. You may not upload, post, or transmit through the Platform any content that:

• Is obscene, pornographic, sexually explicit, or exploits minors
• Is defamatory, libelous, slanderous, or invades another's privacy
• Is discriminatory, harassing, threatening, or promotes violence or hate
• Infringes intellectual property rights of others
• Contains malware, viruses, or other harmful code
• Is misleading, deceptive, or fraudulent
• Advertises products or services unrelated to tool rental
• Otherwise violates any law or regulation

Reporting and Moderation

Users may report objectionable content, listings, or user behavior at any time using the in-app Report User and Report Tool functions. Reports are reviewed within 24 hours. We reserve the right to remove any content and suspend or terminate the accounts of users who violate these standards.

Blocking Other Users

The App provides a block feature that allows any user to prevent another user from contacting them, viewing their listings, or booking their tools. Blocking is immediate and does not require our review.

8. User Content License

By posting content on our Platform (photos, descriptions, reviews, chat messages, tool listings), you grant Naaabaaly a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, publicly display, and prepare derivative works of that content in connection with operating, promoting, and improving the Platform and our services.

You retain ownership of your content. You represent and warrant that you own or have the necessary rights to post the content and that your content does not violate the rights of any third party.

9. Lender Responsibilities

As a Lender, you agree to:

• Provide accurate descriptions and photos of your tools
• Ensure tools are safe, functional, and in the condition described
• Respond promptly to booking requests and messages
• Make tools available during agreed rental periods
• Set a security deposit that reflects the value of your tool
• Understand that the security deposit is your primary protection against loss, damage, or non-return
• Comply with all applicable laws regarding tool rental and marketplace income reporting
• Refund security deposits appropriately based on tool condition upon return

10. Borrower Responsibilities

As a Borrower, you agree to:

• Use tools only for their intended purpose
• Return tools on time and in the same condition received
• Follow all safety guidelines and manufacturer instructions
• Report any damage or issues immediately
• Pay all rental fees, deposits, and any damage costs owed to the Lender
• Understand that failure to return tools may result in loss of your security deposit and potential civil liability

11. Reviews and Ratings

• Users may leave reviews after completed transactions
• Reviews must be honest, accurate, and based on actual experience
• We reserve the right to remove reviews that violate our guidelines
• Fake reviews, review manipulation, or retaliation is prohibited

12. Liability and Disclaimers

Limitation of Liability

To the maximum extent permitted by law, Naaabaaly and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or goodwill
• Personal injury or property damage arising from tool use
• Disputes between users
• Loss, theft, damage, or non-return of any tool
• Failure of any user to make or return payment
• Actions or omissions of third parties, including payment services (PayPal, Venmo, Zelle)

Indemnification

You agree to indemnify and hold harmless Naaabaaly and its affiliates from any claims, damages, losses, or expenses arising from your use of the platform, violation of these Terms, or violation of any rights of third parties.

13. Dispute Resolution

Any disputes arising from these Terms or your use of Naaabaaly shall be resolved through binding arbitration in Orange County, Florida, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Naaabaaly.

Disputes between users regarding rental or payment issues are not our responsibility. We may, at our discretion, provide non-binding assistance through our support team.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

15. Intellectual Property

The Naaabaaly name, logo, and all related trademarks, service marks, and trade names are the property of Independence Collective, LLC. You may not use our intellectual property without prior written consent.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through the App or by email. Your continued use of Naaabaaly after changes constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, Lender Agreement, and Rental Agreement, constitute the entire agreement between you and Naaabaaly regarding use of our platform.
