Terms of Service

1. Acceptance of Terms

By accessing or using the Naaabaaly mobile application ("App") or website ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

Naaabaaly is operated by Independence Collective, LLC ("Company," "we," "us," or "our"), a Florida limited liability company.

2. Eligibility

To use Naaabaaly, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain the security of your account credentials

3. Platform Description

Naaabaaly is a hyperlocal peer-to-peer marketplace that connects tool owners ("Lenders") with people who need to borrow tools ("Borrowers") within a limited geographic radius (typically 1-5 miles).

Important: Naaabaaly is a platform facilitator only. We do not own, rent, or sell tools. All transactions are between individual users. We are not a party to any rental agreement between users.

4. User Accounts

Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized account access

Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms of Service
• Engage in fraudulent or illegal activity
• Receive multiple negative reviews or complaints
• Misuse the platform or abuse other users

5. Fees and Payments

Platform Fee

Naaabaaly charges a 10% service fee on rental transactions. This fee is deducted from the rental amount before payment to the Lender.

Payment Processing

• All payments are processed through Stripe, a third-party payment processor
• Borrowers are charged when a booking is confirmed
• Lenders receive payment via Stripe Connect after the rental period
• Security deposits are held and refunded based on tool condition upon return

Minimum Rental Rate

The minimum daily rental rate is $5.00 USD.

6. User Conduct

You agree NOT to:

• Use the platform for any illegal purpose
• List prohibited items (weapons, hazardous materials, stolen property)
• Misrepresent the condition or capabilities of tools
• Harass, threaten, or abuse other users
• Attempt to circumvent platform fees through off-platform transactions
• Create multiple accounts or use false information
• Interfere with platform operations or security
• Scrape, copy, or redistribute platform content without permission

7. Lender Responsibilities

As a Lender, you agree to:

• Provide accurate descriptions and photos of your tools
• Ensure tools are safe, functional, and in the condition described
• Respond promptly to booking requests and messages
• Make tools available during agreed rental periods
• Comply with all applicable laws regarding tool rental

8. Borrower Responsibilities

As a Borrower, you agree to:

• Use tools only for their intended purpose
• Return tools on time and in the same condition received
• Follow all safety guidelines and manufacturer instructions
• Report any damage or issues immediately
• Pay all rental fees, deposits, and any damage costs

9. Reviews and Ratings

• Users may leave reviews after completed transactions
• Reviews must be honest, accurate, and based on actual experience
• We reserve the right to remove reviews that violate our guidelines
• Fake reviews, review manipulation, or retaliation is prohibited

10. Liability and Disclaimers

Limitation of Liability

To the maximum extent permitted by law, Naaabaaly and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or goodwill
• Personal injury or property damage arising from tool use
• Disputes between users
• Actions or omissions of third parties

Indemnification

You agree to indemnify and hold harmless Naaabaaly and its affiliates from any claims, damages, losses, or expenses arising from your use of the platform, violation of these Terms, or violation of any rights of third parties.

11. Dispute Resolution

Any disputes arising from these Terms or your use of Naaabaaly shall be resolved through binding arbitration in Orange County, Florida, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Naaabaaly.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

13. Intellectual Property

The Naaabaaly name, logo, and all related trademarks, service marks, and trade names are the property of Independence Collective, LLC. You may not use our intellectual property without prior written consent.

By posting content on our platform (photos, descriptions, reviews), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with our services.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through the App or by email. Your continued use of Naaabaaly after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, Lender Agreement, and Rental Agreement, constitute the entire agreement between you and Naaabaaly regarding use of our platform.
